Have you tried using the "Xtras" convert CD Audio in SoundEdit?  Pick the

track, and then at the resulting dialog box, click options to set the sample

rate to 44.1 k, 16 bit, stereo.  That usually works for me.  Then save the

resulting file and downsample from there for Flash.
