Don't know about a Flash countdown but I have one with JavaScript
here: http://www.nisa.net/~2nerotik/ which I use to let people know
when the site was last updated.

There's a part you just need to reverse and it will count down instead of up,
dd=Date.parse(todaystring)-Date.parse(futurestring)
Switch todaystring with futurestring and it will count down.
